SYNTHET Terms of Service

These Terms of Service ("Terms") govern your access to and use of SYNTHET (the "Service"), including our Discord bot, website, dashboards, APIs, and related services. By accessing or using the Service, you agree to these Terms.

If you do not agree, do not use the Service.


1) Who We Are

2) Definitions

  • Bot means the SYNTHET Discord application/bot and its functionality.
  • Dashboard means our web interface for configuring and managing the Service.
  • Guild” / “Server means a Discord server in which the Bot is installed.
  • User means any person using the Service.
  • Customer means a User who purchases a paid plan.
  • Subscription means a recurring paid plan for one Guild.
  • Content means text, images, configurations, logs, and other data processed or stored by the Service.
  • Service Credits means non-cash credits (if any) issued by us to your account/Guild for future Service use, subject to restrictions in these Terms.

3) Eligibility and Authority

3.1 You must be legally capable of entering into a binding agreement to use the Service.

3.2 If you use the Service on behalf of an organization, you represent you have authority to bind that organization.

3.3 You are responsible for ensuring your use complies with applicable laws and Discord policies.


4) Relationship to Discord (Strong Platform Dependency Clause)

4.1 The Service operates on Discord's platform and uses Discord APIs, gateway events, and platform features that are owned and controlled by Discord.

4.2 Discord may change, restrict, degrade, rate-limit, remove, or suspend any API, event, permission, feature, or capability at any time (including privileged intents and message/content access). These changes may:

  • remove or reduce Service functionality,
  • change performance or behavior,
  • require us to modify features or disable certain capabilities, or
  • prevent us from providing certain features entirely.

4.3 No liability for Discord platform restrictions. To the maximum extent permitted by law, we are not responsible or liable for any losses, damages, or impacts arising from Discord platform outages, API changes, policy enforcement, permission restrictions, or other platform actions outside our control.

4.4 Your use of Discord is governed by Discord's own terms and policies, and you must remain compliant with them at all times.


5) Accounts, Access, and Permissions

5.1 Discord authentication. Access to the Dashboard uses Discord OAuth.

5.2 Guild permissions. Installing the Bot and changing settings requires adequate permissions in the Guild.

5.3 RBAC. The Dashboard and commands are subject to role-based access controls. You are responsible for configuring roles/capabilities appropriately.

5.4 Security. You must maintain the security of your Discord account and devices. If you suspect compromise, notify us immediately.


6) Plans, Subscriptions, and Guild Scope

6.1 Plans. We offer plans: Free, Premium, Pro, Custom-Hosting. No trials.

6.2 Per-Guild subscription. Each paid Subscription applies to one Guild only.

6.3 Entitlements. Features unlock based on the effective entitlements for that Guild.

6.4 Custom-Hosting. Custom-Hosting enables a custom bot identity and provisioning flow as described in the plan and dashboard; it is still governed by these Terms.


7) Pricing, VAT, Taxes, and Invoicing

7.1 VAT-inclusive pricing. Displayed prices are VAT-inclusive where applicable.

7.2 Taxes. You are responsible for any taxes applicable to your purchase except where we are required to collect/remit taxes.

7.3 Invoices/receipts. Where required by law or by the payment route, we provide invoices/receipts via the Dashboard. In KSA, invoicing may be subject to ZATCA e-invoicing requirements depending on your setup and thresholds.

7.4 Currency. The currency charged is shown at checkout and may differ by payment route.

7.5 Billing & Tax Disclosure (Reference). Additional mandatory transparency details (including VAT-inclusive pricing treatment, invoice availability, subscription scope, and charging entity disclosure at checkout) are described in our Billing & Tax Disclosure page, incorporated by reference: /legal/billing-tax.


8) Payment Processing (PSP vs Merchant of Record)

8.1 We may use:

  • a KSA payment service provider (PSP) route, and/or
  • a Merchant of Record (MoR) route for certain geographies or methods.

8.2 The checkout page will clearly identify the charging entity (us vs MoR) and any applicable terms.

8.3 We do not store full card numbers; payment details are handled by the payment provider(s).

8.4 Charging entity clarity. The charging entity (SYNTHET Establishment vs MoR) and the applicable receipt/invoice mechanism are disclosed at checkout and summarized in the Billing & Tax Disclosure page: /legal/billing-tax.


9) Subscription Lifecycle: Renewal, Cancellation, Downgrade/Upgrade

9.1 Auto-renewal. Paid Subscriptions renew automatically unless canceled.

9.2 Cancellation. Customer cancellation is effective at period end (you retain access until then).

9.3 No proration. Unless explicitly stated at checkout, we do not provide prorated credits for mid-cycle plan changes.

9.4 Downgrades. Downgrades take effect at the end of the current billing period.

9.5 Non-payment. If a payment fails, your Subscription may enter past_due/grace and later cancel with entitlements reverting to Free.


10) Refunds and Chargebacks

10.1 Refund policy. Except where required by applicable law, fees are generally non-refundable. If a refund is granted, it may revoke entitlements immediately.

10.2 Chargebacks. Chargebacks may result in immediate suspension or termination of paid entitlements and potential fraud hold.


11) Acceptable Use

You agree not to:

  • violate Discord rules, including platform manipulation/spam/abuse;
  • use the Service to facilitate raids, harassment, fraud, doxxing, or illegal activity;
  • attempt to bypass RBAC, subscription enforcement, rate limits, or security controls;
  • reverse engineer, exploit, or interfere with the Service;
  • use the Service in a manner that violates applicable laws.

12) Data, Privacy, and PDPL Alignment

12.1 Privacy Policy. Our Privacy Policy explains what data we process and how. It is incorporated by reference: /legal/privacy.

12.2 Data minimization. We process only what is required to deliver the Service, provide support, secure the platform, and comply with legal obligations.

12.3 PDPL. Where applicable, we process personal data in a manner aligned with the KSA Personal Data Protection Law (PDPL) framework and related implementing rules.

12.4 International users. If you are outside KSA, additional privacy laws may apply. We will apply appropriate safeguards described in our Privacy Policy.


13) User Content and Server Data

13.1 Your ownership. You retain rights to your Content.

13.2 License to operate. You grant us a limited, non-exclusive license to process Content solely to operate, secure, support, and improve the Service.

13.3 Backups/restores. If you use backup/restore features, you authorize the Service to capture and restore server configuration data as requested and permitted by Discord APIs.


14) Intellectual Property

14.1 The Service (software, design, trademarks, and documentation) is owned by us or our licensors.

14.2 You may not copy, sell, sublicense, or distribute the Service except as expressly permitted.


15) Beta Features and Changes

15.1 We may label some features as beta/preview. They may change or be discontinued.

15.2 We may modify features, add or remove capabilities, or change limits to maintain security, reliability, or compliance.


16) Service Availability, Service Credits, and SLA Disclaimer (No Guaranteed Uptime)

16.1 No guaranteed uptime / no SLA. The Service is provided on an "as available" basis. We aim for high availability, but we do notguarantee uninterrupted operation, continuous uptime, or error-free performance. Outages, latency, maintenance windows, provider failures, and Discord platform issues may occur.

16.2 Maintenance and changes. Maintenance windows and incident response may affect availability. Features may be throttled or temporarily disabled to protect platform stability.

16.3 Sole remedy: Service Credits (where permitted). To the maximum extent permitted by applicable law, if we determine (in our reasonable discretion) that a material Service-side availability incident attributable to us warrants remediation, your sole and exclusive remedy for availability-related claims is a Service Credit (if offered/issued), not cash damages, not refunds, and not compensation for business losses.

16.4 No compensation for losses. We are not responsible for loss of profits, revenue, goodwill, anticipated savings, or indirect/consequential losses arising from downtime or degraded availability, subject to mandatory consumer protections that cannot be waived.

16.5 Support scope. Support scope depends on your plan and RBAC permissions.


17) Security

17.1 We implement reasonable technical and organizational measures to protect the Service.

17.2 You must use the Service securely (strong Discord account security, least-privilege roles, etc.).

17.3 We are not responsible for compromise arising from your misconfiguration or compromised Discord account.


18) Suspension and Termination

We may suspend or terminate access (including paid entitlements) if:

  • you breach these Terms or Discord policies;
  • we detect abuse, fraud, chargebacks, or security risk;
  • required to do so by law, regulator, or platform action;
  • Discord restricts the bot or API access.

Upon termination, your right to use the Service ends immediately.


19) Export Controls and Sanctions Compliance

19.1 Restricted jurisdictions and persons. You may not use, access, export, re-export, transfer, or provide the Service in violation of applicable export control laws, sanctions regulations, embargoes, or trade restrictions.

19.2 No prohibited use. You represent and warrant that you are not located in, under the control of, or a national/resident of any jurisdiction where the Service is prohibited by applicable sanctions or export restrictions, and you are not listed on or owned/controlled by any sanctioned or restricted party list.

19.3 Enforcement. We may suspend or terminate access to the Service immediately if we reasonably believe your use violates or would cause us to violate export controls or sanctions obligations.

19.4 Geofencing. We may implement location-based or risk-based controls to comply with legal restrictions.


20) Disclaimers

20.1 The Service is provided "as is" and "as available."

20.2 We disclaim warranties to the fullest extent permitted by applicable law, including merchantability, fitness for purpose, and non-infringement.


21) Limitation of Liability

To the fullest extent permitted by applicable law:

  • We are not liable for indirect, incidental, special, consequential, or punitive damages.
  • Our total liability for any claim is limited to the amount you paid for the Service in the three (3) months preceding the event giving rise to the claim, or USD $50 if you are on Free—whichever is greater.

Some jurisdictions do not allow certain limitations; in that case, limitations apply to the maximum extent permitted.


22) Indemnity

You agree to indemnify and hold us harmless from claims arising out of:

  • your use of the Service,
  • your Content,
  • your violation of these Terms, Discord policies, or applicable law.

23) Governing Law and Dispute Resolution

23.1 Governing law. These Terms are governed by the laws and regulations of the Kingdom of Saudi Arabia, without regard to conflict of laws principles.

23.2 Disputes. Parties will first attempt good-faith resolution via support. If unresolved, disputes will be brought before the competent courts in Riyadh, Kingdom of Saudi Arabia, unless mandatory consumer laws require otherwise.


24) Consumer Rights

Nothing in these Terms limits statutory rights that cannot be waived under applicable law.


25) Changes to Terms

We may update these Terms. If changes are material, we will provide notice via the Dashboard or website. Continued use after the effective date constitutes acceptance.
